Terms and Conditions

Welcome to GiftLocket. These Terms and Conditions ("Terms") govern your access to and use of giftlocket.com and related services (the "Service") operated by GiftLocket ("we", "us", "our"). By creating an account, sending a gift, or otherwise using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. Accounts and authentication

Accounts are created and accessed using your mobile phone number and an SMS one-time passcode. You are responsible for maintaining control of your phone number and for all activity that occurs under your account. Notify us promptly through our support form if you believe your account has been compromised.

3. How gifting works

• Send. A "Giver" selects a curated item and pays the listed price to send a digital gift to a "Receiver."
• Receive. The Receiver may choose to: save the gift, ship the physical item, exchange it for another item, or regift it to someone else.
• Locket points. Receivers may convert saved gifts into Locket points to apply toward other items. Points and saved gifts are non-transferable to cash and have no cash value.
• Top-up. When exchanging for a higher-priced item, the Receiver pays the difference at checkout.

4. Payments

Payments are processed by our third-party payment processor. Prices are shown in U.S. dollars unless otherwise indicated and are inclusive of any applicable platform fees but exclusive of taxes and shipping unless stated. By submitting payment, you authorize the charge to your selected payment method.

5. Refunds, exchanges, and cancellations

Because gifts can be saved, shipped, exchanged, or regifted by the Receiver, Giver-side refunds are generally not available once the gift alert has been delivered. If a gift has not yet been opened by the Receiver, reach us through our support form and we will review your request. Locket points and saved gifts cannot be cashed out under any circumstances.

6. Shipping and fulfillment

Physical items are shipped by our curated supplier partners. Delivery timelines are estimates and may vary based on item availability, the Receiver's address, and carrier conditions. Title and risk of loss pass to the Receiver upon delivery to the carrier.

7. Item availability and substitutions

Curated items may sell out or become unavailable. If a saved gift becomes unavailable, its value will be converted to Locket points that the Receiver can apply to any other in-stock item.

8. SMS messaging

By providing your mobile number, you consent to receive transactional SMS messages from GiftLocket related to account verification and your gift activity. Message frequency varies and is typically 1–4 messages per login or transaction. Message and data rates may apply. Reply STOP to opt out and HELP for help. 9. Acceptable use

You agree not to use the Service to: violate any law; send harassing, fraudulent, or harmful gifts or messages; impersonate another person; circumvent security or rate limits; scrape or resell content; or use the Service for any commercial purpose not expressly authorized by us.

10. Intellectual property

The Service, including its design, text, graphics, and software, is owned by GiftLocket or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation of the Service.

12. Limitation of liability

To the maximum extent permitted by law, GiftLocket and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless GiftLocket and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

14. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their exclusive jurisdiction.
